Terms of service

This draft outlines the intended terms for access to and use of the MergeHall service. It remains subject to legal review and final agreement.

Draft — last updated 31 August 2026

Acceptance of these draft terms

These draft terms are provided for transparency and are not yet binding. Once final terms are published, access to or use of the service may be subject to acceptance of those terms and any agreed order or subscription details.

The legal entity providing the service and the point at which the final terms take effect will be identified before these terms are finalised.

[To be confirmed before these terms are finalised: the service provider's legal identity and the acceptance process.]

The service

MergeHall provides a workspace for organising business-acquisition activity from sourcing through completion and post-close integration. It connects work such as deal stages, tasks, requests, documents, findings, approvals and stakeholder participation.

MergeHall supports the work of a transaction. It does not replace legal, financial, tax or other professional advice, and users remain responsible for their decisions and the information they rely on.

Accounts and access

Users are expected to provide accurate account information, keep their credentials secure and use only the access granted to them. An organisation may manage its workspace, invite participants and assign permissions for deal-related work.

You must tell the appropriate service contact promptly if you believe an account or access method has been used without permission. Account eligibility, authorised-user responsibilities and any age requirements will be confirmed in the final terms.

Acceptable use

Users must use MergeHall lawfully, responsibly and only for purposes connected with the service they are authorised to access.

  • Do not access or attempt to access another person's account, organisation or deal without permission.
  • Do not upload unlawful, harmful or infringing material, or content you do not have the right to use.
  • Do not interfere with the service, bypass access controls, probe for vulnerabilities without written permission or introduce malicious code.
  • Do not use the service to mislead others, impersonate another person or carry out unlawful activity.
  • Do not copy, resell or exploit the service except where the final terms or a separate written agreement allow it.

Customer data and ownership

Customers and users retain their rights in information they submit to the service. They are responsible for having the permissions needed to upload, share and instruct MergeHall to process that information.

The final terms are expected to grant the service provider only the rights needed to host, process, transmit, back up and otherwise handle customer data to provide, protect and support the service.

MergeHall and its licensors retain their rights in the service, its software, design and related materials. Feedback may be used to improve the service without transferring ownership of customer data.

Confidentiality and permissions

Users may encounter confidential transaction information and are responsible for handling it in line with their authority, professional duties and any separate confidentiality agreement. Workspace permissions support scoped access but do not replace those obligations.

An organisation is responsible for deciding who it invites, what permissions it grants and when access should be changed or removed.

Availability and changes to the service

The service may be updated, maintained, suspended or changed over time. No uninterrupted or error-free availability is promised in this draft. Where practical, users will be given appropriate information about material changes or planned interruption.

Any support commitments, service levels or maintenance arrangements will apply only if they are included in the final terms or a separate written agreement.

Fees and subscriptions

Where a paid plan applies, fees, billing timing, taxes, renewal and cancellation details will be shown during purchase or set out in an agreed order. Invited-participant access and plan limits are subject to the plan details presented at that time.

[To be confirmed before these terms are finalised: the final payment, renewal, refund and price-change provisions.]

Third-party services

The service may connect to third-party products or services. Their own terms and privacy information may apply to their services, and MergeHall is not responsible for terms imposed by those third parties.

Disclaimers and liability

The final terms will set out the warranties, exclusions, remedies and any limits on liability that apply. Those provisions will need to reflect applicable law and the type of customer agreement.

Nothing in the final terms is intended to exclude or limit liability where the law does not allow that result.

[To be confirmed before these terms are finalised: the final disclaimer wording, liability cap and excluded categories of loss.]

Suspension and termination

The final terms are expected to explain when an account or service may be suspended or ended, including for material breach, non-payment, security risk or legal requirement, and what notice or remedy period applies.

They will also explain what happens to access and customer data after termination, including any retrieval or deletion process.

[To be confirmed before these terms are finalised: notice periods, remedy rights and the post-termination data process.]

Governing law and disputes

The final terms are intended to be governed by the laws of England and Wales, subject to legal review and any mandatory rights that apply. The process and forum for resolving disputes have not yet been finalised.

[To be confirmed before these terms are finalised: the final jurisdiction and dispute-resolution wording.]

Changes to these terms

This draft may change during legal review. Once final terms are in effect, the applicable agreement will explain how changes are notified and when they take effect.

Contact

Questions about the final terms will be directed through the service contact route identified before publication.
